NUii Terms of Service

Welcome to NUii. These Terms of Service (“Terms”) govern your access to and use of the NUii coming-soon website, including nuii.com, nuii.life, related NUii domains, and the NUii Early Access sign-up (collectively, the “Site”), operated by NUii Life, Inc., a Wyoming corporation (“NUii,” “we,” “us,” or “our”). By accessing or using the Site or joining Early Access, you agree to these Terms. If you do not agree, please do not use the Site.

1. About This Stage of NUii

NUii is currently in a pre-launch, coming-soon stage. The Site provides general information about NUii’s planned GLP-1 support and personalized wellness platform and allows eligible users to join an Early Access list. No NUii product, membership, medical service, biomarker-testing service, personalized protocol, or other paid service is currently available for purchase or use through this Site.

Descriptions of planned products, features, benefits, technology, programs, timelines, pricing, or availability are preliminary and may change. NUii does not guarantee that any described product, feature, service, benefit, or launch date will become available.

2. Not Medical Advice; No Healthcare Relationship

NUii is not acting as a medical provider through this Site. Nothing on the Site constitutes medical advice, diagnosis, treatment, prescribing, or a recommendation to begin, stop, change, or modify any medication or medical treatment. Information concerning GLP-1 medications, nutrition, biomarkers, coaching, supplements, wellness, or related subjects is provided for general informational and educational purposes only.

Use of the Site or participation in Early Access does not create a physician-patient, clinician-patient, pharmacist-patient, or other healthcare-provider relationship between you and NUii. Always consult an appropriately licensed healthcare professional regarding medications, symptoms, diagnoses, treatment, or other healthcare decisions. Do not disregard or delay professional medical advice because of information presented on the Site.

At this pre-launch stage, NUii does not prescribe, dispense, administer, or modify GLP-1 medications through the Site.

3. Emergency Medical Situations

The Site is not designed for medical emergencies or urgent medical needs. Do not use the Site or Early Access contact channels to seek emergency medical assistance. If you believe you are experiencing a medical emergency, contact appropriate emergency services or a qualified healthcare provider.

4. Early Access Sign-Up

By submitting your email address, you represent and agree that:

  • The information you provide is accurate and belongs to you;
  • You are at least 18 years old;
  • You consent to receive Early Access confirmations, launch announcements, product information, promotional messages, and related marketing communications from NUii; and
  • You may unsubscribe from marketing communications at any time.

Joining Early Access does not guarantee priority, eligibility, membership, access to any future product or service, a particular price or benefit, or a specific launch date, and it does not obligate either you or NUii to enter into any future transaction.

5. Electronic Communications

By using the Site or providing your email address, you consent to receive communications from NUii electronically, including by email and through notices posted on the Site, as permitted by law. You agree that electronic communications may satisfy legal requirements that communications be in writing. Marketing communications may be discontinued through the unsubscribe mechanism provided in those communications.

6. Intellectual Property

The Site and its content, including the NUii name and logos, NUii Way to Healthy™, other names and taglines, designs, graphics, photography, video, text, concepts, layouts, and other materials, are owned by or licensed to NUii Life, Inc. and are protected by copyright, trademark, trade dress, and other intellectual-property laws.

Except for personal, noncommercial viewing of the Site, you may not copy, reproduce, modify, republish, distribute, display, transmit, scrape, create derivative works from, commercially exploit, or otherwise use Site content without NUii’s prior written permission.

7. Acceptable Use

You agree not to:

  • Use the Site for any unlawful, fraudulent, harmful, or abusive purpose;
  • Attempt to interfere with, disrupt, disable, damage, or gain unauthorized access to the Site, servers, accounts, or systems;
  • Introduce malware, malicious code, or other harmful technology;
  • Use bots, spiders, scrapers, automated extraction tools, or similar means to access or collect Site data without written permission;
  • Impersonate another person or submit false, misleading, or unauthorized information; or
  • Use Site content or NUii branding in a manner that suggests an unauthorized affiliation, endorsement, or partnership.

The Site may contain links to or integrations with third-party websites, platforms, or services. NUii does not control and is not responsible for third-party content, availability, security, privacy practices, products, or terms. Your use of third-party services is governed by their respective terms and policies.

9. Future Products and Separate Terms

When NUii launches memberships, products, biomarker testing, personalized protocols, coaching, applications, healthcare integrations, e-commerce, or other services, those offerings may be governed by additional or replacement terms, consents, disclosures, eligibility requirements, privacy notices, and policies. You may be required to affirmatively accept those terms before using the applicable service.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NUii DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY FUTURE NUII PRODUCT, SERVICE, FEATURE, BENEFIT, OR LAUNCH DATE WILL OCCUR OR MEET YOUR EXPECTATIONS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NUII LIFE, INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, NUII’S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT, IF ANY, YOU PAID DIRECTLY TO NUII FOR USE OF THE SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Because the current Site is free, this provision generally results in a $100 cap during the Early Access stage. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

12. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless NUii Life, Inc. and its affiliates, officers, directors, employees, contractors, representatives, and agents from claims, liabilities, damages, losses, and reasonable costs and expenses, including attorneys’ fees, arising from your material violation of these Terms, misuse of the Site, or violation of another person’s rights.

13. Changes, Suspension, and Termination

We may modify, suspend, restrict, or discontinue all or part of the Site at any time. We may also update these Terms as NUii develops. When we make changes, we will post the revised Terms with an updated “Last Updated” date. Where required by law, we will provide additional notice. Your continued use of the Site after revised Terms become effective constitutes acceptance of those revised Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise. Subject to any non-waivable rights you may have under applicable law, any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction and venue of those courts.

15. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. NUii’s failure to enforce any provision is not a waiver of its right to do so later.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other notices expressly incorporated by reference, constitute the agreement between you and NUii concerning the current Site and Early Access program and supersede prior understandings concerning that subject matter.
